For this reason, we would like to inform you that with the enactment of Law No. 10.597, Article 18, Section 10) of the Commercial Code has been amended to establish that email will be the official means of notification for commercial corporations in Costa Rica.

Starting June 4, 2025, all sociedades anónimas (corporations) will have a period of one (1) year to register their email address with the Legal Entities Registry of the National Registry.

This legal reform marks a significant change in the model for official notifications and must be addressed with diligence and precision to avoid future contingencies.

En Guardia Montes Abogados creemos que anticiparse es una forma de proteger.
Por eso, queremos informarle que con la entrada en vigor de la Ley N.º 10.597, se ha reformado el artículo 18, inciso 10) del Código de Comercio, estableciendo que el correo electrónico será el medio oficial de notificación para las sociedades mercantiles en Costa Rica.

A partir del 4 de junio de 2025, todas las sociedades anónimas disponen de un plazo de un (1) año para registrar su dirección de correo electrónico ante el Registro de Personas Jurídicas del Registro Nacional.

Este cambio legal representa una transformación importante en el modelo de notificación oficial, que debe ser abordado con diligencia y precisión para evitar futuras contingencias.
